11.裝運(yùn)通知：一俟裝運(yùn)完畢，賣方應(yīng)即電告買方合同號(hào)、品名、已裝載數(shù)量，發(fā)票總金額，毛重，運(yùn)輸工具名稱及啟運(yùn)日期等。

Shipping advice：The sellers shall immediately，upon the completion of the loading of the goods，advise the buyers of the Contract No，names of commodity，loaded quantity，invoice values，gross weight，names of vessel and shipment date by TLX/FAX.

12.檢驗(yàn)與索賠：Inspection and Claims：①賣方在發(fā)貨前由檢驗(yàn)機(jī)構(gòu)對(duì)貨物的品質(zhì)、規(guī)格和數(shù)量進(jìn)行檢驗(yàn)，并出具檢驗(yàn)證明書。

The buyers shall have the qualities，specifications，quantities of the goods carefully inspected by the Inspection Authority，which shall issue Inspection Certificate before shipment.②貨物到達(dá)目的的口岸后，買方可委托當(dāng)?shù)氐腵商品檢驗(yàn)機(jī)構(gòu)對(duì)貨物進(jìn)行復(fù)檢。如果發(fā)現(xiàn)貨物有損壞、殘缺或規(guī)格、數(shù)量與合同規(guī)定不符，買方須于貨到目的口岸的天內(nèi)憑檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明書向賣方索賠。

The buyers have right to have the goods inspected by the local commodity inspection authority after the arrival of the goods at the port of destination. If the goods are found damaged / short / their specifications and quantities not in compliance with that specified in the contract，the buyers shall lodge claims against the sellers based on the Inspection Certificate issued by the Commodity Inspection Authority within days after the goods arrival at the destination.③如買方提供索賠，凡屬品質(zhì)異議須于貨到目的的口岸之日起天提出;凡屬數(shù)量異議須于貨到目的口岸之日起天提出。對(duì)所裝貨物所提任何異議應(yīng)由保險(xiǎn)公司、運(yùn)輸公司或郵遞機(jī)構(gòu)負(fù)責(zé)的，賣方不負(fù)任何責(zé)任。

13.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負(fù)責(zé)，但賣方應(yīng)將上述發(fā)生的情況及時(shí)通知買方。

Force Majeure：The sellers shall not hold any responsibility for partial or total non-performance of this contract due to Force Majeure . But the sellers shall advise the buyers on times of such occurrence.

14.爭(zhēng)議之解決方式：Disputes settlement：□任何因本合同而發(fā)生或與本合同有關(guān)的爭(zhēng)議，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國(guó)深圳。仲裁裁決是終局的，對(duì)雙方均有約束力。

All disputes arising out of the contract or in connection with the contract，shall be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its Rules of Arbitration in ShenZhen，China . 15.法律適用Law application：本合同之簽訂地、或發(fā)生爭(zhēng)議時(shí)貨物所在地在中華人民共和國(guó)境內(nèi)或被訴人為中國(guó)法人的，適用中華人民共和國(guó)法律，除此規(guī)定外，適用《聯(lián)合國(guó)國(guó)際貨物銷售公約》。

In case of quality discrepancy，claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination，while for quantity discrepancy，claim should be filed by the Buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company，Shipping Company，other Transportation Organization /or Post Office are liable.

11.由于發(fā)生人力不可抗拒的原因，致使本合約不能履行，部分或全部商品延誤交貨，賣方概不負(fù)責(zé)。本合同所指的不可抗力系指不可干預(yù)、不能避免且不能克服的客觀情況。

The Seller shall not be held responsible for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents which might occur. Force Majeure as referred to in this contract means unforeseeable，unavoidable and insurmountable objective conditions.

12.仲裁(Arbitration)：

因凡本合同引起的或與本合同有關(guān)的任何爭(zhēng)議，如果協(xié)商不能解決，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)深圳分會(huì)。按照申請(qǐng)仲裁時(shí)該會(huì)當(dāng)時(shí)施行的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。

Any dispute arising from or in connection with the Sales Contract shall be settled through friendly negotiation. In case no settlement can be reached，the dispute shall then be submitted to China International Economic and Trade Arbitration Commission (CIETAC)，Shenzhe Commission for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.

13.通知(Notices)：

第八條甲方按國(guó)家和地方政策規(guī)定為乙方辦理社會(huì)保險(xiǎn)有關(guān)手續(xù)，并承擔(dān)相應(yīng)的義務(wù)。 Article 8 : Party A shall deal with the relevant formalities of social security for Party B according to the country and local policies and take up the relevant liabilities.

第九條乙方患職業(yè)病或因工負(fù)傷后的'工資和醫(yī)療補(bǔ)助執(zhí)行按照國(guó)家和地方的有關(guān)法律法規(guī)執(zhí)行。 Article 9: The salary and Medicare benefits of Party B in case of occupational diseases or work-related injuries shall be paid in accordance with the relevant national an local laws and regulations.

第十條乙方患職業(yè)病或因工負(fù)傷的待遇按國(guó)家的有關(guān)規(guī)定執(zhí)行。

Article 10: If Party B suffers illness or non-work related injury, Party A shall implement relevant state provisions.

六、勞動(dòng)保護(hù)、勞動(dòng)條件和職業(yè)危害防護(hù)

Labor protection, labor condition and occupational harm prevention and cure

第十一條甲方根據(jù)生產(chǎn)崗位的需要，按照國(guó)家有關(guān)勞動(dòng)安全、衛(wèi)生的規(guī)定為乙方配備必要的安全防護(hù)措施，發(fā)放必要的勞動(dòng)保護(hù)用品。 Article 11: Party A shall equip Party B with the necessary safety protection measures and issue the necessary labor protection articles according to the needs of the post and the rules of the labor safety and hygiene.

第十二條甲方應(yīng)當(dāng)建立、健全職業(yè)病防治責(zé)任制度，加強(qiáng)對(duì)職業(yè)病防治的管理，提高職業(yè)病防治水平。

Article 12 : Party A shall set up and optimize the occupational disease cure responsibility system, enforce the management over the occupational disease and promote the cure level of the occupational disease.

七、勞動(dòng)合同的解除、終止和經(jīng)濟(jì)補(bǔ)償

Change, Cancellation, Termination and Renewal of the Labor Contract

第十三條甲乙雙方解除、變更、終止、續(xù)訂勞動(dòng)合同應(yīng)當(dāng)依照《勞動(dòng)合同法》和國(guó)家及省、市等有關(guān)規(guī)定執(zhí)行。

Article 13 :If the parties revoke, modify, terminate and extent the labor contract, they shall perform them according to the relevant rules of the LaborContract Law and the country, province and city etc.

第十四條甲方應(yīng)在解除或者終止勞動(dòng)合同時(shí)，為乙方出具解除或者終止勞動(dòng)合同的證明，并在15日內(nèi)為勞動(dòng)者辦理相關(guān)手續(xù)。乙方應(yīng)在甲方出具解除或者終止勞動(dòng)合同的證明后10日內(nèi)辦理工作移交，如涉及經(jīng)濟(jì)補(bǔ)償?shù)陌磭?guó)家有關(guān)規(guī)定在辦結(jié)工作交接時(shí)支付。

Article 14：Upon the revocation or termination of the labor contract, Party Ashall issue the certification for revocation or termination of the labor contract to Party B and deal with the relevant formalities for the laborer within fifteen

(15)days. Party B shall make the work handover within ten (10) days after issuance by Party A of the certificate of revocation or termination of the labor contract Regarding any economic compensation, they shall be paid upon the handover of the work according to the rules of the country.

八、勞動(dòng)爭(zhēng)議處理

Labor Dispute Resolutions

第十五條雙方發(fā)生爭(zhēng)議，任何一方當(dāng)事人可向甲方所在地的勞動(dòng)爭(zhēng)議仲裁委員會(huì)申訴，由仲裁委員會(huì)依法調(diào)解或裁決。如對(duì)仲裁不服，向甲方所在地人民法院起訴，一方當(dāng)事人期滿不起訴但又不執(zhí)行裁決的，另方當(dāng)事人可向人民法院申請(qǐng)強(qiáng)制執(zhí)行。

Article 15：In case disputes arise between two parties, either party can appeal to

labour disputes arbitration commission at party A’s location, subject to mediation or adjudication by arbitration commission. In case of disobedience of arbitrationresult, either party can sue to the court at party A’s location. Either party neitherbrings the lawsuit during the valid period nor performs the adjudication; the otherparty has the right to apply for forcible execution to the court.

第十六條乙方承諾本合同乙方通訊地址為甲方向乙方寄送郵件信函的地址，甲方按該地址寄送的郵件信函如無(wú)法送達(dá)被退回即視為該郵件已送達(dá)乙方。

Article 16：Party B promises his correspondence address of the contract shallbe the address that Party A sends the letters or mails to Party B. If any letters ormails are not returned or undeliverable after Party A sends them, it is deemed thatthey have arrived at Party B.

第十七條本合同未盡事宜，應(yīng)按國(guó)家現(xiàn)行法律、法規(guī)、規(guī)章執(zhí)行。本合同條款如與國(guó)家法律、法規(guī)、政策相抵觸時(shí)，以國(guó)家規(guī)定為準(zhǔn)。

Article 17：Affairs unmentioned in this contract shall be executed accordingto present laws, statutes and regulations of the state. In case any contradictionarises between the articles of this contract and laws, statutes or policies of the state,the latter shall be referred to as final.

為確立雙方的勞動(dòng)關(guān)系，明確雙方的權(quán)利和義務(wù)，甲乙雙方根據(jù)《勞動(dòng)法》、《勞動(dòng)合同法》等法律、法規(guī)、規(guī)章的規(guī)定，經(jīng)雙方平等協(xié)商，自愿同意簽訂本勞動(dòng)合同，并共同遵守本合同所列條款：

一、合同期限

i. contract term

2、合同期間乙方如參加培訓(xùn)，培訓(xùn)協(xié)議約定的工作(服務(wù))期限超過(guò)本合同期限的，合同期限變更至培訓(xùn)協(xié)議約定的工作(服務(wù))年限滿止。

二、工作內(nèi)容和工作地點(diǎn)

1、乙方同意按甲方工作需要，從事崗位(工種)工作，乙方應(yīng)保質(zhì)保量完成該崗位所承擔(dān)的各項(xiàng)工作內(nèi)容。乙方的工作地點(diǎn)在海鹽縣境內(nèi)，

party a may promote or demote the posts of party b and adjust the working post or location of party b according to production and working needs and the physical condition and working capacity and performance of party b and party b is willing to accept the arrangement of party a.

二、工作時(shí)間和休假

iii. working hours and leaves

1、經(jīng)甲、乙雙方協(xié)商確認(rèn)按下列第條款執(zhí)行工時(shí)制度。

四、勞動(dòng)報(bào)酬

1、乙方提供正常勞動(dòng)，甲方確保支付乙方基本工資不低于元/月；

2、執(zhí)行定額計(jì)件工資制的，按多勞多得原則計(jì)算工資。加班加點(diǎn)按規(guī)定支付乙方加班工資。

3、如執(zhí)行點(diǎn)率(考核)或年薪工資制，按績(jī)效考核結(jié)果計(jì)算工資。

4、乙方在試用期間的工資為元/月。

5、甲方根據(jù)實(shí)際經(jīng)營(yíng)狀況、內(nèi)部規(guī)章制度、對(duì)乙方的考核結(jié)果，以及乙方的工作年限、獎(jiǎng)懲記錄、崗位變化等，調(diào)整乙方的工資水平，但不得低于國(guó)家規(guī)定的最低工資標(biāo)準(zhǔn)。

party a may adjust the salary level of party b according to the operation condition, internal rules system, appraisal result, work tenure, punishment and rewards records and change of the post of party b etc. but it shall not be lower than the salary standards stipulated by the country.

6、甲方以貨幣形式按月支付乙方工資。

party a shall pay the salary of party b by month in currency.

五、勞動(dòng)紀(jì)律

v labor discipline

1、乙方對(duì)甲方依法制定的規(guī)章制度已經(jīng)熟知，并嚴(yán)格遵照?qǐng)?zhí)行。

party b has been aware of the rules and regulations of party b stipulated according to the law and abide by it strictly.

2、乙方應(yīng)遵守職業(yè)道德，不得損害甲方利益。party b shall abide by the professional ethics which shall not injure the interests of party a.

六、社會(huì)保險(xiǎn)和福利待遇

vi social insurance and welfare

1、甲方按國(guó)家和地方政策規(guī)定為乙方辦理社會(huì)保險(xiǎn)有關(guān)手續(xù)，并承擔(dān)相應(yīng)的義務(wù)。

party a shall deal with the relevant formalities of social security for party b according to the country and local policies and take up the relevant liabilities.

2、乙方的福利待遇按國(guó)家及甲方的規(guī)定執(zhí)行。

the welfare of party b shall be subject to the rules of the country and party a.

七、勞動(dòng)保護(hù)、勞動(dòng)條件和職業(yè)危害防治

vii labor protection, labor condition and occupational harm prevention and cure

1、甲方根據(jù)生產(chǎn)崗位的需要，按照國(guó)家有關(guān)勞動(dòng)安全、衛(wèi)生的規(guī)定為乙方配備必要的安全防護(hù)措施，發(fā)放必要的勞保用品。

party a shall equip party b with the necessary safety protection measures and issue the necessary labor protection articles according to the needs of the post and the rules of the labor safety and hygiene.

2、乙方在勞動(dòng)過(guò)程中應(yīng)當(dāng)嚴(yán)格遵守安全操作規(guī)程，嚴(yán)禁違章作業(yè)，防止勞動(dòng)過(guò)程中的.事故，減少職業(yè)危害，并應(yīng)自覺愛護(hù)甲方的工具等財(cái)產(chǎn)。

during the labor process, party b shall abide by the safety operation procedure to prevent the accidents during the labor process, decrease the occupational harm and consciously protect the assets such as the tools of the party a. it is strictly forbidden to make the operation by violating the rules.

3、甲方應(yīng)當(dāng)建立、健全職業(yè)病防治責(zé)任制度，加強(qiáng)對(duì)職業(yè)病防治的管理，提高職業(yè)病防治水平。party a shall set up and optimize the occupational disease cure responsibility system, enforce the management over the occupational disease and promote the cure level of the occupational disease.

八、教育與培訓(xùn)

viii. education and training

甲方應(yīng)當(dāng)依據(jù)國(guó)家有關(guān)職業(yè)教育與就業(yè)準(zhǔn)入的有關(guān)規(guī)定以及本單位的實(shí)際情況，為乙方提供職業(yè)教育和技能培訓(xùn)。乙方參加培訓(xùn)應(yīng)按規(guī)定與甲方另行簽訂培訓(xùn)協(xié)議。

party a shall provide party b with the occupational education and skill training according to the actual condition of the company and relevant rules of the country on the occupational education and post permit. party b shall enter into the training agreement with party a additionally for the training taken.

九、勞動(dòng)合同的解除、變更、終止

ix. revocation, modification and termination of the labor contract

1、甲乙雙方解除、變更、終止、續(xù)訂勞動(dòng)合同應(yīng)當(dāng)依照《勞動(dòng)合同法》和國(guó)家及省、市等有關(guān)規(guī)定執(zhí)行。

if the parties revoke, modify, terminate and extent the labor contract, they shall perform them according to the relevant rules of the labor contract law and the country, province and city etc.

2、經(jīng)甲乙雙方協(xié)商一致，可變更合同相關(guān)內(nèi)容，變更勞動(dòng)合同，應(yīng)當(dāng)采用書面形式。

after the mutual consultations of the parties, the contract may be modified in writing.

3、乙方符合《勞動(dòng)合同法》第三十九條情形之一者，甲方有權(quán)解除勞動(dòng)合同。

if party b has one of the circumstances under article 39 of the labor contract, party a is entitled to revoke the labor contract.

4、乙方要求解除勞動(dòng)合同，應(yīng)當(dāng)提前三十日(試用期內(nèi)提前三日、專業(yè)人員提前六個(gè)月)以書面形式通知甲方，可以解除勞動(dòng)合同。

if party b requires to revoke the labor contract, they shall inform party a in writing with thirty (30) day pre-notice (the person under probation needs a pre-notice of three(3) days and the professional people with the pre-notice of six months).

5、甲方應(yīng)在解除或者終止勞動(dòng)合同時(shí)，為乙方出具解除或者終止勞動(dòng)合同的證明，并在15日內(nèi)為勞動(dòng)者辦理相關(guān)手續(xù)。乙方應(yīng)在甲方出具解除或者終止勞動(dòng)合同的證明后10日內(nèi)辦理工作移交，如涉及經(jīng)濟(jì)補(bǔ)償?shù)陌磭?guó)家有關(guān)規(guī)定在辦結(jié)工作交接時(shí)支付。

upon the revocation or termination of the labor contract, party a shall issue the certification for revocation or termination of the labor contract to party b and deal with the relevant formalities for the laborer within fifteen (15)days. party b shall make the work handover within ten (10) days after issuance by party a of the certificate of revocation or termination of the labor contract. regarding any economic compensation, they shall be paid upon the handover of the work according to the rules of the country.

十、違反勞動(dòng)合同的責(zé)任

x. responsibilities for violating the labor contract

1、本合同一經(jīng)簽訂，甲乙雙方應(yīng)嚴(yán)格執(zhí)行。任何一方違反規(guī)定解除勞動(dòng)合同的，應(yīng)當(dāng)向?qū)Ψ劫r償因違約造成的經(jīng)濟(jì)損失。once the contract is entered into, the parties shall strictly perform it. regarding any party who violate the labor contract and raise the revocation, they shall compensate the other party for the economic losses arisen.

2、乙方違約解除合同，在合同期間（含轉(zhuǎn)崗）由甲方出資進(jìn)行職業(yè)技術(shù)或提升培訓(xùn)的，按培訓(xùn)協(xié)議約定向甲方支付違約金；若無(wú)培訓(xùn)協(xié)議，按國(guó)家有關(guān)規(guī)定執(zhí)行。

regarding party b who violates the contract to revokes the contract, during the contract term (including the post transfer), if party a invests in party b’s occupational technology or development training, party b shall pay the party b with the penalty according to the agreement. if there is no training agreement, it shall be subject to the relevant rules of the country.

3、乙方因違章作業(yè)或失職行為給甲方造成損失的，甲方有權(quán)追究乙方賠償責(zé)任，并按違紀(jì)行為給予處理。if party b causes losses to party a due to the operation violating the rule or negligence behavior, party a is entitled to recourse party b with the compensation responsibilities and punish the violating behaviors.

十一、勞動(dòng)爭(zhēng)議處理及其它

xi . labor disputes settlement and miscellaneous

1、甲乙雙方在本合同履行中發(fā)生勞動(dòng)爭(zhēng)議，應(yīng)協(xié)商解決或由本單位工會(huì)組織調(diào)解解決；

也可以向所在鎮(zhèn)勞動(dòng)爭(zhēng)議協(xié)調(diào)委員會(huì)申請(qǐng)調(diào)解，調(diào)解不成或不愿調(diào)解的，可向海鹽縣勞動(dòng)爭(zhēng)議仲裁委員會(huì)申請(qǐng)仲裁，對(duì)仲裁裁決不服的，可以向海鹽縣人民法院起訴。

regarding the labor disputes arisen of the parties during the performance of the contract, they shall be solved through consultations or intervened by the trade union of the unit or applied for the medication from the labor dispute coordination committee in the town. regarding those who fail to reach the agreement or are not willing to be intermediated, they may file the arbitration from the labor dispute arbitration committee from hanyan country. regarding those who don’t agree with the arbitration, they may file the law suite from the people’s court.

2、乙方不得泄露甲方的商業(yè)和技術(shù)秘密，不得利用甲方的技術(shù)或財(cái)物與他人研制產(chǎn)品。

party b shall not disclose the commercial and technology secrets of party b and shall not take advantage of party a’s technology or assets to develop the products with others.

乙方承諾本合同乙方通訊地址為甲方向乙方寄送郵件信函的地址，甲方按該地址寄送的郵件信函如無(wú)法送達(dá)被退回即視為該郵件已送達(dá)乙方。

party b promises his correspondence address of the contract shall be the address that party a sends the letters or mails to party b. if any letters or mails are not returned or undeliverable after party a sends them, it is deemed that they have arrived at party b.

3、本合同依法訂立即具有法律效力，雙方必須嚴(yán)格履行。本合同未盡事宜或與今后國(guó)家、省有關(guān)規(guī)定相悖的，按有關(guān)規(guī)定執(zhí)行。

the contract has the law force immediately after being executed and the parties shall perform it strictly accordingly. regarding the unsettled matters of the contract or anything contradicted with the rules of the country or the province in future, they shall be subject to the relevant rules.

本合同經(jīng)甲、乙雙方簽字或蓋章后生效，并一式二份。甲、乙雙方各執(zhí)一份。

the contract will come into force after signature or seal of the parties and be made in duplicate with each party holding one copy.
